We assist project owners, banks, private equity and venture funds, service providers, and other project stakeholders in the negotiation and documentation of all types of energy project development and financing transactions, including mergers and acquisitions and securitization of credit facilities and project financing for CCUS projects. We also have broad experience in all aspects of a project lifecycle and regularly advise clients in the negotiation and implementation of project development contracts, including commodity purchase or sale agreements, engineering and construction contracts, equipment supply agreements, operations and maintenance agreements, and shared facilities agreements.
Tax
Our tax team assists with the planning and structuring of tax equity and developer-side transactions to utilize Section 45Q credits and other tax incentives. Our team has worked on EOR, life cycle, and sequestration projects throughout the country, including gas processing, gasification, and ethanol sources, among others. We assist with analysis of partnership and tax credit issues and have been integrally involved with the development of the regulations, revenue rulings, revenue procedures, and legislation affecting Section 45Q credits. Our tax team works with financial models to achieve tax and financial goals in CCUS projects and have actively negotiated several CCUS projects.
Government Affairs
Our government affairs team, both in our Western States and Washington DC, can assist project developers and owners in educating executive and legislative branch leaders about CCUS projects. We also work with these decisionmakers to identify potential tax incentives and funding opportunities at a local, state or federal level intended to facilitate the construction and operation of CCUS facilities. We work closely with our environmental permitting and compliance team and tax team and our collaborative approach helps clients solve challenges and seize opportunities within federal, state, and local governments.
Property Rights Issues
Our lawyers have decades of experience representing clients with project development on public, private, and tribal lands. We assist with routine and complex matters related to the development of CCUS projects, including property and pore space ownership, examining lease, royalty, and access agreements, right of way and joint venture agreements, in addition to dealing with state and federal agencies in negotiations, rulemaking, legislative oversight, and judicial review.

As environmental regulations evolve in response to developing technologies, our attorneys stay ahead of the curve to obtain defensible permitting and maintain compliance.
